1Introduction & Acceptance

These Terms and Conditions ("Terms") govern your access to and use of the Quiet Medical platform ("Platform", "Service", "we", "us", "our"), operated by Quiet Medical Ltd, a company incorporated in England and Wales. The Platform was formerly known as WhatTheBleep.

By registering for an account, accessing, or using any part of the Platform, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Platform.

These Terms constitute a legally binding agreement between you and Quiet Medical Ltd. Please read them carefully before proceeding. If you are using the Platform on behalf of an organisation, you confirm you have authority to bind that organisation to these Terms.

These Terms comply with the Consumer Rights Act 2015, the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, the Electronic Commerce (EC Directive) Regulations 2002, the Data Protection Act 2018, and UK GDPR.

3Definitions

In these Terms, unless the context requires otherwise:

  • "Account" means a registered user account on the Platform.
  • "Agency" / "Recruitment Agency" means a medical recruitment business registered on the Platform to source and place locum doctors.
  • "Compliance Documents" means professional documents including but not limited to GMC certificates, DBS checks, Right to Work documentation, indemnity certificates, and appraisal records.
  • "Compliance Vault" means the secure document storage feature available to Doctor users.
  • "Content" means any text, documents, images, data, or other material uploaded to or generated on the Platform.
  • "Doctor" / "Locum Doctor" means a medically qualified individual registered on the Platform as a healthcare professional seeking locum placements.
  • "GMC" means the General Medical Council.
  • "Platform" means the Quiet Medical website, web application, and all associated services accessible at quietmedical.co.uk.
  • "Subscription" means a paid or free tier plan granting access to specified Platform features.
  • "User" means any individual or organisation with an Account on the Platform, including Doctors and Agencies.
4Eligibility & Account Registration

To register for and use the Platform, you must:

  • Be at least 18 years of age;
  • Be legally entitled to work in the United Kingdom or to operate a business in the United Kingdom;
  • If registering as a Doctor, hold a current, valid registration with the General Medical Council (GMC);
  • If registering as an Agency, be a legitimately constituted business entity operating in compliance with applicable UK employment and recruitment law;
  • Provide accurate, current, and complete information during registration.

You are responsible for maintaining the security and confidentiality of your Account credentials. You must notify us immediately at hello@quiet.medical if you become aware of any unauthorised use of your Account.

You may not create more than one Account without our prior written consent. Accounts are non-transferable. We reserve the right to refuse registration or to suspend or terminate any Account at our discretion where we have reasonable grounds to do so.

5Services Provided

Quiet Medical operates as a technology platform connecting UK locum doctors with medical recruitment agencies. We are not a recruitment agency ourselves and do not make placement decisions.

For Doctors, the Platform provides:

  • A secure Compliance Vault for storing, managing, and sharing professional compliance documents (GMC certificate, DBS, Right to Work, indemnity, appraisal records, and related documents);
  • Granular access controls allowing Doctors to approve or revoke agency access to their documents at any time;
  • Document expiry reminders and compliance status tracking;
  • Access to a curated Work Feed displaying matching locum opportunities from registered agencies (Pro and Advanced plans);
  • BMA Rate Card benchmarking tools (Pro and Advanced plans);
  • Priority listing and Instant Grab features for rapid shift applications (Advanced plan).

For Agencies, the Platform provides:

  • Access to a searchable pool of registered UK locum doctors;
  • Ability to post shift opportunities that appear directly on matching doctors' calendars;
  • Tools to request and receive verified compliance documents from doctors who grant permission;
  • Summarised CVs and outreach credits (Pro and Advanced plans);
  • Top Agency status, pinned logo placement, and targeted email broadcast capabilities (Advanced plan).

We do not guarantee that use of the Platform will result in any particular employment outcome, placement, or business result for any User. The Platform facilitates connections; all contractual arrangements for locum placements are made directly between Doctors and Agencies.

6Subscription Plans & Payment

Plan tiers: The Platform offers the following subscription tiers for both Doctors and Agencies:

  • Base (Free): Access to core Platform features as described at the time of registration, with no charge.
  • Pro: Enhanced features including the Work Feed (Doctors) or Market View access (Agencies), charged at the rate published on the Platform at the time of subscription.
  • Advanced: Full feature access including Instant Grab, priority listing, outreach credits, and email broadcasts, charged at the rate published on the Platform at the time of subscription.

Current pricing for Pro and Advanced plans is displayed on our pricing page. All prices are quoted in pounds sterling (GBP) and are exclusive of VAT unless otherwise stated. VAT will be charged at the prevailing UK rate where applicable.

Payment processing: Payments for paid plans are processed securely by Stripe, Inc. By subscribing to a paid plan, you agree to Stripe's terms of service. We do not store your full payment card details on our servers.

Billing: Paid plans are billed on a recurring basis (monthly or annually, as selected at checkout). Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

Price changes: We may change the price of paid plans. We will give you at least 30 days' notice of any price change by email. If you do not cancel before the new price takes effect, you will be charged at the new rate.

7Right to Cancel

If you are a consumer (an individual acting outside the course of a business), you have a statutory right to cancel your subscription within 14 days of the date on which the contract is concluded, under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.

How to exercise your right to cancel: To cancel within the 14-day cooling-off period, please email us at hello@quiet.medical with the subject line "Cancellation Request" and include your registered email address and Account details.

Waiver of cancellation right: If you request that we begin providing the paid service immediately (before the 14-day period expires), you acknowledge that your right to cancel will be lost once the service has been fully performed. Where the service is not fully performed within the 14-day period, you may still cancel but will be liable for a proportionate charge for services provided up to the point of cancellation.

Cancellation after the cooling-off period: After the 14-day period, you may cancel your paid subscription at any time via your Account settings or by contacting us. Cancellation will take effect at the end of your current billing period. You will retain access to paid features until then.

8Refund Policy

Cooling-off period refunds: If you cancel within the 14-day statutory cancellation period and have not requested immediate commencement of services, you are entitled to a full refund of any amounts paid. Refunds will be processed within 14 days of receiving your valid cancellation notice and will be made via the original payment method.

Partial refunds: Where you have exercised your right to cancel within the 14-day period but have requested and received immediate access to paid features, a partial refund may be issued reflecting the unused portion of the service, calculated on a pro-rata daily basis.

After the cooling-off period: Subscription fees paid for the current billing period are non-refundable following the expiry of the 14-day cooling-off period, except where required by law or where we have materially failed to provide the contracted service.

Exceptional circumstances: We may, at our sole discretion, consider refund requests outside the above policy on a case-by-case basis. To submit a refund request, contact hello@quiet.medical.

Nothing in this refund policy affects your statutory rights under the Consumer Rights Act 2015 or other applicable UK consumer protection legislation.

9Doctor Responsibilities

As a Doctor using the Platform, you agree and warrant that:

  • You hold a current, valid, and unrestricted registration with the General Medical Council (GMC) and will maintain such registration throughout your use of the Platform;
  • All information you provide on the Platform, including your specialty, grade, GMC number, and compliance documents, is accurate, complete, and up to date;
  • You will promptly update your profile and compliance documents to reflect any changes, including any changes to your GMC registration status, DBS status, or right to work in the UK;
  • You will only upload compliance documents that are genuine, unaltered, and belong to you;
  • You will not share access to your Account with any other person;
  • You are responsible for ensuring you hold adequate professional indemnity insurance for any locum work you undertake;
  • You understand that Quiet Medical does not verify, endorse, or take responsibility for the accuracy of documents you upload, and that verification responsibilities lie with the relevant agencies and employers;
  • You will comply with all applicable professional standards, GMC guidance, and UK legislation in connection with your use of the Platform and any locum work you obtain through it.
10Agency Responsibilities

As an Agency using the Platform, you agree and warrant that:

  • You are a legitimately constituted business entity operating lawfully in the United Kingdom;
  • You will comply with the Conduct of Employment Agencies and Employment Businesses Regulations 2003 in all your recruitment and placement activities;
  • You will comply with the Agency Workers Regulations 2010 (AWR 2010) in respect of any agency workers you place through the Platform;
  • You will comply with all applicable employment law, including but not limited to the Equality Act 2010, the National Minimum Wage Act 1998, and Working Time Regulations 1998;
  • You will not contact doctors outside the Platform in a manner that circumvents the Platform's consent and privacy controls;
  • Doctor compliance documents accessed through the Platform will be used solely for the purposes of verifying eligibility for placements and will not be shared with third parties without the doctor's explicit consent;
  • You will carry out your own independent verification of all compliance documents provided by doctors and will not rely solely on documents made available through the Platform;
  • You will not discriminate against any doctor on the basis of age, disability, gender reassignment, marriage and civil partnership, pregnancy and maternity, race, religion or belief, sex, or sexual orientation.
11Acceptable Use Policy

You must not use the Platform to:

  • Upload, post, or transmit any content that is unlawful, fraudulent, defamatory, or misleading;
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity;
  • Upload documents or information belonging to another individual, or forge, alter, or misrepresent compliance documents;
  • Harvest, scrape, or collect data about other users without their explicit consent;
  • Engage in any activity that interferes with, disrupts, or places an unreasonable burden on the Platform or its underlying infrastructure;
  • Attempt to gain unauthorised access to any part of the Platform or any other user's Account;
  • Use the Platform to transmit unsolicited commercial communications (spam);
  • Use the Platform for any purpose that violates any applicable law or regulation, including UK data protection law.

Breach of this Acceptable Use Policy may result in immediate suspension or termination of your Account and, where appropriate, referral to relevant regulatory or law enforcement authorities.

12Intellectual Property

All intellectual property rights in the Platform, including its software, design, branding, trademarks, logos, text, and other content created by us, are owned by or licensed to Quiet Medical Ltd. Nothing in these Terms transfers any intellectual property rights to you.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for its intended purpose during the period of your Account. This licence does not permit you to:

  • Copy, reproduce, or redistribute any part of the Platform;
  • Reverse engineer, decompile, or disassemble any software forming part of the Platform;
  • Use our branding or trademarks without our prior written consent.

Your Content: You retain ownership of any compliance documents and other content you upload to the Platform. By uploading content, you grant us a limited, non-exclusive licence to store, process, and display that content solely for the purpose of providing the Platform services to you. We will not use your content for any other purpose without your explicit consent.

13Data Protection & Privacy

We take the protection of your personal data very seriously. Our collection and use of personal data is governed by our Privacy Policy, which forms part of these Terms by reference, and by the following legislation:

  • UK General Data Protection Regulation (UK GDPR);
  • Data Protection Act 2018;
  • Privacy and Electronic Communications (EC Directive) Regulations 2003.

We are registered with the Information Commissioner's Office (ICO) as a data controller. The personal data we process may include your name, email address, GMC number, professional qualifications, compliance documents (which may include sensitive personal data such as health-related information in DBS records), and payment information.

Special category data: Some compliance documents you upload may constitute special category personal data under UK GDPR (for example, DBS certificates may reveal health or criminal information). We process such data only to the extent necessary to provide the Platform services and with your explicit consent.

Data sharing: We will only share your personal data with recruitment agencies where you have explicitly granted them access through the Platform's consent controls. You may revoke that access at any time.

Your rights: Under UK GDPR, you have the right to access, rectify, erase, restrict processing of, and port your personal data. You also have the right to object to processing and to lodge a complaint with the ICO at ico.org.uk.

14Cookies

We use cookies and similar tracking technologies on the Platform in accordance with the Privacy and Electronic Communications (EC Directive) Regulations 2003. Cookies we use include:

  • Strictly necessary cookies: Required for the Platform to function, including authentication and security cookies. These cannot be disabled.
  • Analytics cookies: We use Google Analytics to understand how users interact with the Platform. These cookies collect anonymised data and are only set with your consent.
  • Preference cookies: Used to remember your settings and preferences.

On your first visit, you will be asked to consent to non-essential cookies. You can manage your cookie preferences at any time through your browser settings or via our cookie preference centre. Withdrawing consent for non-essential cookies will not affect your ability to use core Platform features.

15Limitation of Liability

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

Subject to the above, our total liability to you in connection with the Platform, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the greater of:

  • The total subscription fees paid by you to us in the 12 months preceding the event giving rise to the claim; or
  • £100.

We shall not be liable for:

  • Any loss of income, revenue, profit, business, contracts, anticipated savings, or data;
  • Any indirect or consequential loss;
  • Any loss or damage arising from your reliance on compliance documents uploaded by other users, or the accuracy of information provided by doctors or agencies;
  • Any loss arising from your failure to maintain accurate and up-to-date information on the Platform;
  • Any loss arising from Platform unavailability due to maintenance, technical failures, or circumstances beyond our reasonable control.

If you are a consumer, the limitations in this section do not affect your statutory rights under the Consumer Rights Act 2015 or other applicable consumer protection legislation.

16Indemnification

You agree to indemnify, defend, and hold harmless Quiet Medical Ltd and its directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of the Platform in breach of these Terms;
  • Any content you upload to the Platform;
  • Your violation of any applicable law or third-party right;
  • Any claim by a third party (including a recruitment agency or a doctor) arising from your activity on the Platform.

This indemnification obligation does not apply where the claim arises from our own negligence, wilful misconduct, or breach of these Terms.

17Third Party Links & Services

The Platform may contain links to third-party websites and services, including but not limited to Stripe for payment processing and Google Analytics for usage analysis. These third-party services are governed by their own terms and privacy policies, and we are not responsible for their content, practices, or availability.

Links to third-party websites do not constitute our endorsement of those websites or their content. You access third-party websites at your own risk.

Stripe: Payment processing is handled by Stripe, Inc. By using paid features, you agree to Stripe's terms of service. Stripe acts as a data processor in connection with payment transactions.

18Suspension & Termination

By you: You may close your Account at any time by contacting us at hello@quiet.medical or via your Account settings. Closing your Account will not entitle you to a refund except as provided in Section 7 (Right to Cancel) and Section 8 (Refund Policy).

By us: We reserve the right to suspend or terminate your Account, with or without notice, if we have reasonable grounds to believe that:

  • You have breached these Terms or any applicable law;
  • Your Account has been used fraudulently or in connection with unlawful activity;
  • You have provided false or misleading information;
  • Continued access poses a risk to other users or to the Platform.

Where we suspend or terminate your Account other than for breach, we will give you reasonable notice and a pro-rata refund of any prepaid subscription fees relating to the unused portion of your billing period.

Effect of termination: Upon termination, your right to access the Platform ceases immediately. We will retain your personal data for the period required by law and our data retention policy, after which it will be securely deleted. You may request a copy of your data before or after account closure by contacting us.

19Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, applicable law, or business practices. We will notify you of material changes by email at least 30 days before they take effect.

If you do not agree with the updated Terms, you may close your Account before the new Terms take effect. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the updated Terms.

The most current version of these Terms is always available at quietmedical.co.uk/terms. The date at the top of this page indicates when these Terms were last updated.

20Governing Law & Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.

Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms, subject to any mandatory rights you may have under applicable consumer protection law to bring proceedings in the courts of your country of residence.

If you are a consumer resident in Scotland, you may also bring proceedings in Scottish courts. If you are a consumer resident in Northern Ireland, you may also bring proceedings in courts in Northern Ireland.
